This Terms of Service Agreement ("Agreement") constitutes a legally binding contract between SecureStacker LLC, a Florida Limited Liability Company with its principal place of business in Winter Haven, Florida ("Company," "we," "us," or "our"), and you ("Customer," "User," or "you").
By clicking "I Agree," purchasing, downloading, accessing, or otherwise using the digital document packets, templates, forms, or related services (collectively, the "Services" or "Products"), you acknowledge that you have read, understood, and agree to be bound by the terms of this Agreement. If you are entering into this Agreement on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these terms.
The Products provided are standardized templates and informational materials. They are not intended to constitute legal advice, accounting advice, or professional cybersecurity counsel. No attorney-client relationship is created between you and the Company. You agree that you should consult with your own legal counsel or qualified compliance officer to review and customize these documents to ensure they meet your specific business needs and local jurisdictional requirements.
You assume full responsibility for the use of these materials.
The Company makes NO REPRESENTATIONS OR WARRANTIES that the use of the Product will result in:
The Product is a starting point for your internal documentation only. The Company does not guarantee the accuracy, completeness, or currency of any laws or regulations cited within the Product.
Subject to your payment of all applicable fees, SecureStacker LLC grants you a limited, non-exclusive, non-sublicensable, non-transferable, perpetual, and revocable license to use the Product solely for your internal business operations.
You agree that you will NOT:
All rights, title, and interest in and to the Product, including all Intellectual Property Rights, remain the sole property of SecureStacker LLC. Your rights are limited to the license expressly granted in Section 4.1.
5.1 Payment: You agree to pay the one-time fee specified at checkout (currently $89.00 USD) for the Product. Payments are processed via third-party secure processors (Stripe). You represent and warrant that you have the legal right to use any credit card(s) or other payment means used to initiate any transaction.
5.2 Taxes: You are responsible for paying all applicable taxes, levies, or duties imposed by taxing authorities associated with your purchase.
You agree to defend, indemnify, and hold harmless SecureStacker LLC, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
(A) IN NO EVENT WILL SECURESTACKER LLC BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE PRODUCT;
(B) SECURESTACKER LLC ASSUMES NO LIABILITY OR RESPONSIBILITY FOR ANY ERRORS, MISTAKES, OR INACCURACIES OF CONTENT;
(C) IN NO EVENT SHALL THE AGGREGATE LIABILITY OF SECURESTACKER LLC EXCEED THE TOTAL AMOUNT YOU PAID TO THE COMPANY FOR THE PRODUCT GIVING RISE TO THE CLAIM (I.E., $89.00).
The existence of one or more claims will not enlarge this limit.
This Agreement and any action related thereto will be governed by the laws of the State of Florida without regard to its conflict of laws provisions. The exclusive jurisdiction and venue of any action with respect to the subject matter of this Agreement will be the state courts located in Polk County, Florida or the United States District Court for the Middle District of Florida. You hereby waive any objection to jurisdiction and venue in such courts.
Severability: If any provision of this Agreement is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced.
Force Majeure: We shall not be liable for any delay or failure to perform resulting from causes outside our reasonable control, including, but not limited to, acts of God, war, terrorism, riots, embargos, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.
Entire Agreement: This Agreement constitutes the entire agreement between you and SecureStacker LLC regarding the use of the Product.
